Specific deliverables, timelines, and costs for any service will be detailed in a separate formal
agreement, proposal, or Statement of Work (SOW) provided to the client.
2. Client Obligations and Responsibilities
To ensure the successful delivery of our services, clients are expected to:
- Provide timely access to necessary accounts (CMS, hosting, Google Analytics, Ads accounts,
etc.).
- Supply all necessary digital assets, content, and brand guidelines required for campaign
execution or development.
- Review and approve deliverables within the agreed-upon timeframe. Failure to provide
feedback within 7 business days may result in automatic approval or project delays.
3. Payment Terms & Billing
All financial arrangements will be explicitly outlined in your customized project proposal.
General financial terms include:
- Upfront Deposits: Development and SEO projects generally require a 50%
non-refundable upfront deposit prior to the commencement of work.
- Recurring Services: Retainer-based services (like PPC Management or Ongoing
SEO) are billed monthly in advance.
- Late Fees: Invoices not paid within 15 days of receipt may incur a late
penalty fee of 1.5% per month. Adunex reserves the right to suspend services for unpaid
accounts.
4. Intellectual Property Rights
Unless otherwise agreed upon in writing:
- Client Content: You retain full ownership of all logos, text, and imagery
you provide to us.
- Agency Deliverables: Upon full payment, the final designs, code, and
marketing assets created specifically for you will become your intellectual property.
- Pre-existing Code: Adunex Technologies retains the rights to any
pre-existing code libraries, proprietary frameworks, and generalized marketing strategies
utilized during the engagement.
5. Confidentiality & Non-Disclosure
Adunex Technologies agrees to maintain the strictest confidentiality regarding all proprietary
business information, trade secrets, and customer data shared by the client. We will not
disclose your confidential information to any third party without explicit prior written
consent, except as required by law.
6. Warranties and Limitation of Liability
While we strive to deliver the highest quality digital marketing and development services, Adunex
Technologies does not guarantee specific numerical outcomes (e.g., exact sales figures, specific
Google rank positions) due to the unpredictable nature of search algorithms and market
conditions.
In no event shall Adunex Technologies, its directors, employees, or contractors be liable for any
indirect, incidental, special, or consequential damages arising out of or in connection with our
services or your use of the website.
7. Termination of Services
Either party may terminate the business relationship by providing a 30-day written notice. Upon
termination, the client is responsible for paying all outstanding invoices for work completed up
to the termination date. Any non-refundable deposits will remain with the agency.
8. Revisions & Modifications
Development and design projects include a pre-defined number of revision rounds as per the
Statement of Work. Additional revisions or "scope creep" outside the initial contract will be
billed at our standard hourly rate.
9. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of
India. Any disputes arising from these terms or our services shall be subject to the exclusive
jurisdiction of the courts located in Madhya Pradesh, India.
10. Changes to Terms
Adunex Technologies reserves the right to modify or replace these Terms and Conditions at any
time. Any changes will be posted on this page with an updated "Last Updated" date. Continued use
of our services implies acceptance of the updated terms.
